Terms of Service

ThankRightNow is a free gratitude platform that enables patients, families, and peers to send direct appreciation messages to healthcare workers. Caregivers can create a portable, permanent professional gratitude profile that travels with them throughout their career.

The Platform has three primary user types: Senders (patients, families, and peers who send messages), Caregivers (healthcare workers who receive messages and maintain a profile), and Administrators (hospital and health system staff who manage institutional partnerships).

You must be at least 16 years old to create a caregiver account or administrator account. Senders who wish to send a thank-you message must be at least 13 years old. Users under the age of 18 should review these Terms with a parent or guardian.

By using the Platform, you represent and warrant that:

• •You meet the applicable age requirement
• •You have the legal capacity to enter into these Terms
• •You will use the Platform only for lawful purposes and in accordance with these Terms
• •Any information you provide is accurate and complete

Registration

Caregivers may create a free account on ThankRightNow by providing their name, role, hospital or facility, and email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Profile ownership

Your gratitude profile belongs to you, not your employer. ThankRightNow grants you a non-exclusive, non-transferable right to access and use your profile for your personal professional purposes. You may download, export, or delete your profile and all associated data at any time.

Profile portability

Your profile and all thank-you messages you have received remain yours if you change employers, change roles, or leave healthcare altogether. No hospital or health system has any ownership or control over your profile.

Notification preferences

Caregivers may opt in to receive real-time notifications when they receive a thank-you message. You may adjust or disable notifications at any time in your account settings.

Anyone may send a thank-you message to a caregiver on ThankRightNow without creating an account. By sending a message, you agree that:

• •The message is genuine and reflects your actual experience
• •You will not impersonate another person or send a message on behalf of someone else without their knowledge
• •You will not include in your message any Protected Health Information (PHI), personal medical details, or information that identifies you or any other patient
• •Your message complies with our Content Standards (Section 6)

All messages are reviewed before delivery. Messages that do not meet our content standards are blocked and never delivered to the caregiver. You will not be notified if a message is blocked, but you may contact us if you believe a message was incorrectly rejected.

You agree not to use the Platform to:

• •Send messages that are false, misleading, defamatory, abusive, harassing, threatening, obscene, or otherwise objectionable
• •Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• •Transmit any unsolicited or unauthorized advertising or promotional material (spam)
• •Attempt to gain unauthorized access to any part of the Platform, other user accounts, or our infrastructure
• •Scrape, crawl, or otherwise extract data from the Platform by automated means without our written permission
• •Interfere with or disrupt the integrity or performance of the Platform
• •Use the Platform in any way that could harm, disable, or overburden our infrastructure
• •Engage in any activity that violates applicable law or regulation
• •Use the Platform to transmit or store Protected Health Information (PHI)

We reserve the right to investigate and take appropriate action against users who violate these provisions, including removing content, suspending accounts, and reporting to law enforcement where appropriate.

All content submitted to ThankRightNow — including thank-you messages, caregiver profile information, and any other user-generated content — must meet the following standards:

• •Positive only: Messages must express genuine appreciation. Complaints, criticisms, negative feedback, or clinical observations are not permitted.
• •No PHI: Messages must not include any Protected Health Information, medical details, diagnosis references, or information that could identify a patient.
• •Truthful: Content must be genuine and accurate. Fabricated or fictitious thank-you messages are not permitted.
• •Respectful: Content must not be discriminatory, offensive, or harmful on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
• •No commercial content: Messages and profiles must not contain advertising, promotional material, or commercial solicitation.

ThankRightNow reserves the right to remove any content that violates these standards, at our sole discretion, without prior notice.

ThankRightNow's intellectual property

The ThankRightNow platform, including its design, software, trademarks, logos, and all content created by us, is owned by ThankRightNow Ltd. and protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of our content without our express written permission.

User content

You retain ownership of any content you submit to ThankRightNow (including thank-you messages and profile information). By submitting content, you grant ThankRightNow a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute that content as necessary to operate the Platform and deliver messages to their intended recipients.

We do not use your personal messages or profile content for marketing purposes without your explicit consent.

Feedback

If you submit suggestions, ideas, or feedback about the Platform ("Feedback"), you agree that we may use that Feedback without restriction or compensation to you.

ThankRightNow operates an independent monthly prize raffle. Every thank-you message sent through the Platform during a calendar month automatically enters the recipient caregiver into that month's raffle. No purchase is necessary to enter or win.

• •Automatic entry: Caregivers are entered automatically when they receive a message. No separate raffle entry is required.
• •Selection: Winners are selected randomly at the end of each calendar month from all eligible caregivers who received at least one verified thank-you message during that month.
• •Prizes: Prizes are determined by ThankRightNow and may vary month to month. Hospital sponsors may contribute additional prizes for caregivers at their institution, but ThankRightNow always operates its own independent raffle.
• •Notification: Winners will be notified by email using the address associated with their caregiver account. Winners must respond within 14 days to claim their prize, or an alternative winner will be selected.
• •No guarantee of winning: Participation in the raffle does not guarantee a prize. All decisions regarding raffle winners are final.
• •Taxes: Winners are solely responsible for any applicable taxes on prizes received.
• •Eligibility: ThankRightNow employees and their immediate family members are not eligible to win.

ThankRightNow reserves the right to modify, suspend, or discontinue the prize raffle at any time with reasonable notice.

Hospitals and health systems that partner with ThankRightNow agree to separate institutional terms as part of their onboarding agreement. Those terms govern the specific obligations of the institution, data sharing arrangements, and use of the administrative dashboard.

Hospital partnerships do not give institutions any rights over individual caregiver profiles or the content of messages received by their staff. The relationship between ThankRightNow and individual caregivers is direct and independent of any hospital partnership.

Hospital administrators may not use the ThankRightNow dashboard to evaluate, discipline, or make employment decisions about individual caregivers based on platform data. Doing so violates these Terms and may result in immediate termination of the institutional partnership.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• •The Platform will be uninterrupted, error-free, or secure
• •Any messages sent through the Platform will be delivered instantaneously or without delay
• •The Platform will meet your specific requirements
• •Any defects in the Platform will be corrected

ThankRightNow is a gratitude platform and is not a medical device, clinical system, patient safety tool, or complaint resolution service. Nothing on the Platform constitutes medical advice or should be used as a substitute for professional medical judgment.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THANKRIGHTNOW AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

• •Your use of or inability to use the Platform
• •Any content submitted to or received through the Platform
• •Unauthorized access to or alteration of your data
• •Any interruption or cessation of the Platform

In any event, our total liability to you for all claims arising from or relating to these Terms or your use of the Platform shall not exceed the greater of (a) the amount you paid us in the 12 months prior to the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability will be limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless ThankRightNow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• •Your use of the Platform in violation of these Terms
• •Your violation of any applicable law or regulation
• •Any content you submit to the Platform
• •Your infringement of any third-party rights

By you

Caregivers and administrators may close their account at any time by contacting us at info@ThankRightNow.com. Upon account closure, your profile and associated data will be deleted within 30 days. Thank-you messages that have already been delivered remain in our system unless you request their deletion as part of account closure.

By us

We reserve the right to suspend or terminate any account at any time, with or without notice, for violation of these Terms, suspected fraudulent or abusive activity, or for any other reason at our sole discretion. We will make reasonable efforts to notify you before taking action except where immediate action is necessary to protect the Platform or other users.

Effect of termination

Upon termination, your right to access and use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will remain in effect.

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of the Platform that cannot be resolved informally will be subject to the exclusive jurisdiction of the competent courts located in Jerusalem, Israel.

For users in the European Union: Nothing in these Terms affects your rights as a consumer under mandatory EU consumer protection law. EU users may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

We encourage you to contact us directly at info@ThankRightNow.com before initiating any formal dispute resolution process. We are committed to resolving issues quickly and fairly.

We may revise these Terms from time to time. When we make material changes, we will:

• •Update the "Last updated" date at the top of this page
• •Notify registered caregivers and administrators via email at least 14 days before changes take effect
• •Display a notice on the Platform for significant changes

Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Platform before the effective date.
